Terms of Service

These Terms of Service (“Terms”) govern your use of services provided by Virtual Office Accounting (“VOA,” “we,” “us,” or “our”). By signing up, paying for, or using our services, you agree to these Terms.

1. Company Structure and Scope

Virtual Office Accounting is a subsidiary of Rosillo & Associates, P.A.

These Terms apply only to the services offered by Virtual Office Accounting. Accounting, tax, and advisory services are not included and require a separate written engagement agreement with Rosillo & Associates, P.A.

2. Services Covered

Services under these Terms may include:

  • Virtual mailbox and business mailing address
  • Business registration address services (additional fees apply)
  • Mail handling services such as opening, scanning, forwarding, and discarding
  • Short-term office and conference room rentals

Services may change or be updated from time to time.

3. Virtual Mailbox and Address Use

To activate mailbox services, you must complete identity verification and submit USPS Form 1583 with required documentation.

You may use the address for lawful business purposes, including mail receipt and state business registration if applicable fees are paid.

We may:

  • Open, scan, forward, or discard mail per your instructions
  • Charge usage-based fees for mail handling
  • Refuse, return, or discard prohibited items, excessive volume, or suspicious mail

We are not responsible for postal delays, loss, or errors once mail is handled or forwarded.

4. Business Registration Services

We may assist with business filings and registration logistics. We do not provide legal advice. You are responsible for the accuracy of all information submitted.

Using our address for state registration may require additional fees.

5. Office and Conference Room Use

Office and conference room use requires advance booking and is subject to availability.

Rules:

  • Guests are permitted only in conference rooms and must be accompanied
  • You are responsible for your conduct and any damage
  • Overstays or misuse may result in additional charges

Use is at your own risk. We are not responsible for personal injury, loss, or damage while using the space.

6. Payments and Subscriptions

  • Services are billed monthly unless stated otherwise
  • Usage-based fees are billed separately
  • Nonpayment may result in suspension of services
  • Late fees may be accessed if beyond 30 days.

If you terminate services, unused time will be refunded on a prorated basis.

7. Term and Termination

Either party may terminate services with 30 days’ notice.

We may suspend or terminate services immediately for:

  • Nonpayment
  • Fraud, misuse, or illegal activity
  • Compliance or security concerns

Office booking access may be suspended due to non-availability.

8. Mail After Termination

After termination:

  • You must arrange mail forwarding within 30 days
  • During the 30-day period, mail may be picked up or forwarded at your cost plus handling fees
  • After 30 days, all remaining mail will be discarded

9. Accounting Services Disclaimer

No accounting, tax, or advisory relationship is created under these Terms. Such services are provided only under a separate written agreement with Rosillo & Associates, P.A.

10. Lawful Use and Compliance

You may not use our services for illegal, deceptive, or fraudulent purposes.

We may cooperate with law enforcement or regulatory authorities when required.

11. Limitation of Liability

To the maximum extent allowed by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total aggregate liability for any claim is limited to the fees you paid to us in the one month preceding the event giving rise to the claim

12. Indemnification

You agree to indemnify and hold us harmless from claims, damages, or expenses arising from your misuse of services, violations of law, or third-party claims related to your activities.

13. Dispute Resolution

All disputes shall be resolved by binding arbitration.

14. Modifications

We may update these Terms at any time. Continued use of services after changes constitutes acceptance.
